Licence Terms for Schools and Organisations
Version 1.0 · Effective 23 October 2026. These terms apply to every licence that Eco Heroes International SL grants to a school, school group, education authority, company, hotel or other organisation.
1. Parties and documents
- The contract is between Eco Heroes International SL (CIF B44915940, Girona (Spain); "we") and the organisation named in the quote ("you").
- The contract consists of: (a) the quote you accepted (the "order"); (b) these Licence Terms; (c) our data processing agreement (DPA), published in our Trust Centre. If they conflict, the order prevails over these Licence Terms, and the DPA prevails on anything about personal data.
- Our Terms of Service apply to your users only for acceptable use (section 9 of those terms). Their consumer sections do not apply to you.
2. Ordering
- You order by accepting our quote in writing: by e-mail, by signing it, or by sending a purchase order that refers to it. The contract starts on the start date in the quote.
- A quote is valid for the period it states, or 60 days if it states none.
- A school can ask for a free pilot with one or two classes through the quote form (eco-heroes.org/quote/?want=pilot). We usually send the class codes within one business day. A pilot runs for the period we agree, costs nothing, ends without any obligation to buy, and its data is covered by the DPA.
- Family plans bought on the website are consumer contracts and are not licences under these terms.
3. The licence
- We give you a non-exclusive, non-transferable right to let the users and seats in the order use Eco Heroes for teaching, training or guest activities during the term.
- A seat is one pupil, or one child in a company or hotel group, as the order defines it. Teacher, coordinator and administrator accounts are included unless the order says otherwise.
- You may not resell the licence, publish class or access codes, or let people outside your organisation use them.
4. Term and renewal
- The term is the one in the order. If the order states none, it is 12 months from the start date.
- Public bodies. If you are a public administration or another public-sector body, the licence does not renew automatically. It renews only if you place a new order, as Spanish public-procurement law requires (Law 9/2017, article 29).
- Other organisations. The licence renews for a further 12 months at the end of each term, unless either side gives written notice at least 30 days before the end. We remind you of the renewal at least 30 days before the end of the term.
- Fees for a renewed term are those of our then current quote for your organisation. If they rise, we tell you before the notice period starts.
5. Fees and payment
- Fees are set in the quote. Unless the quote says otherwise, they exclude VAT, which we add at the rate the law requires; for organisations in other EU countries with a valid VAT number, the reverse-charge rule applies.
- We invoice at the start of each term. You pay within 30 days of the invoice date, by bank transfer to the account on the invoice. We accept purchase orders.
- Spanish public bodies receive electronic invoices as Law 25/2013 requires. Please give us your administrative unit codes (DIR3) with the order.
- If an invoice is unpaid 30 days after it is due, we may charge late-payment interest under Spanish Law 3/2004 and, after a further written reminder giving 15 days, suspend access until payment.
6. Getting started
- We send your class codes or access codes within one business day of the order or of payment, as the quote states, together with the teacher handbook.
- Training, onboarding sessions and learning-platform connection (LTI 1.3) are included where the quote says so.
7. Support
- Support is by e-mail to info@eco-heroes.org, on business days (Monday to Friday, except public holidays in Girona (Spain)).
- We send a first answer within one business day. We then work on the issue until it is solved or we have agreed a way forward with you.
- We answer in English, Spanish or Catalan first, and in the other languages of the site with the help of translation.
8. Service levels
- We aim for 99.5% availability of the Service in each calendar month. Availability is measured by our independent monitor and published on our status page.
- Planned maintenance does not count as unavailability. We announce planned maintenance that may interrupt the Service in advance on the status page, and by e-mail to your administrator contact when it is expected to last longer than 30 minutes.
- Unavailability caused by your own systems, your internet connection, your learning platform or identity provider, or events outside our reasonable control does not count either.
- 99.5% is a target, not a guarantee. If we miss it, we tell you why and what we are doing about it.
9. Your responsibilities
- Name an administrator contact and keep it up to date. School administrators must use two-factor sign-in. Coordinators of company and hotel licences can turn it on in their account. Before an impact study, name a safeguarding contact; until you do, safeguarding flags go to your school administrators.
- Make sure your users follow the acceptable-use rules and keep codes and passwords private.
- Inform pupils, parents, staff or guests about the processing of their data, and obtain any consent your law requires (see the DPA).
- Check that Eco Heroes fits your own curriculum, policies and technical environment.
10. Data protection
You are the controller of your pupils', staff's and guests' data, and we are your processor. The data processing agreement in our Trust Centre forms part of the contract. It covers instructions, security, sub-processors, international transfers, breach notice (without undue delay and no later than 48 hours after we become aware), deletion (90 days after the licence ends, or within 30 days of your written request), audits, and the additional rules for the United Kingdom and the United States.
11. Intellectual property
- Eco Heroes, its content and its software belong to us or to our licensors. You receive only the rights in section 3.
- Your data and the content your users create remain yours. We use them only to provide the Service, as the DPA sets out.
- Teachers may print the teaching materials for use within your organisation during the term.
12. Quality of the service
- We provide the Service with reasonable skill and care, as described in the order and on our website at the start of the term. We do not reduce its main features during a term.
- If something does not work as described, tell us. We fix it within a reasonable time. If we cannot, you may end the licence and we refund the fees for the rest of the term.
13. Liability
- Our total liability under the contract in any 12-month period is limited to the fees you paid or must pay for that period.
- Neither party is liable for indirect loss, loss of profit or loss of data that could have been avoided by reasonable backups of your own records.
- These limits do not apply to liability for wilful misconduct or gross negligence, death or personal injury, breach of the data protection obligations where the law does not allow a limit, or any other liability that cannot be limited by law.
14. Suspension and ending
- Either party may end the contract by written notice if the other party seriously breaks it and does not put it right within 30 days of being asked to.
- We may suspend a user's access at once if this is needed to protect the Service, other users or children. We tell you and restore access as soon as the reason has gone.
- When the contract ends, you can export your class data during the term and until deletion. We delete your data as the DPA sets out: 90 days after the end, or sooner if you ask us in writing.
- Sections 5 (for unpaid fees), 10, 11 and 13 continue after the contract ends.
15. Changes
We may update these Licence Terms. A new version applies to new orders and renewals, not to a term already running, unless you agree.
16. Law and courts
- The contract is governed by Spanish law.
- The courts of Girona (Spain) have jurisdiction.
- For public bodies, the mandatory rules of public-procurement law, and the jurisdiction they set, take precedence over this section.
